This Constitution may be amended by resolution of the Council of Members as prescribed
in Article V of this Constitution, adopted by a majority of not less than two-thirds
of the members present and voting on the resolution.

A constitutional amendment may be proposed by the Board of Trustees or by not
less than five members of the Council of members. Any amendment proposed for consideration
by the Council of members shall be submitted in writing to the Secretary-General
at least three months before the commencement of the Council of Members meeting
at which the amendment is to be considered.
ARTICLE
XI - MISCELLANEOUS PROVISIONS
1.
Fiscal Year The fiscal year shall be the calendar year.
2.
Corporate Seal The corporate seal shall contain the name of the Agency and
shall be in such form as shall be prescribed by the Board of Trustees.
ARTICLE
XII – DISSOLUTION
The
dissolution of the Agency shall require a resolution of the Council of Members
proposed by the Board of Trustees and adopted by a majority of not less than two-thirds
of the members present and voting on the resolution. In the event of bankruptcy
and subject to any laws applicable to the Agency, the personal liability of any
members of the Agency shall be limited to a maximum of £1 (one). On the dissolution
of the Agency, any remaining assets shall be disposed of in accordance with the
recognized legal procedure of the country in which such assets are owned, and
in accordance with the recommendations of the Council of Members.
